# M&A Buy-Side Advisor – Job Description

---

## **Position Overview**

An M&A Buy-Side Advisor represents and advises **acquiring companies (buyers)** throughout the mergers and acquisitions process. The advisor helps clients identify, evaluate, negotiate, and execute strategic acquisitions to meet their business objectives.

## **Key Responsibilities**

### ๐Ÿ” Deal Origination & Target Identification

- Develop and maintain a pipeline of potential acquisition targets

- Conduct market mapping and sector analysis to identify suitable targets

- Screen and qualify targets based on client's strategic and financial criteria

### ๐Ÿ“Š Financial Analysis & Valuation

- Build detailed financial models (DCF, LBO, comparable company analysis, precedent transactions)

- Conduct valuation analysis and fairness opinions

- Assess synergies (revenue and cost) from potential acquisitions

### ๐Ÿค Transaction Execution

- Manage the end-to-end M&A process from initial approach to closing

- Coordinate due diligence (financial, legal, commercial, operational)

- Prepare and review transaction documents (LOI, NDA, SPA)

- Negotiate deal terms, structure, and pricing on behalf of the buyer

### ๐Ÿ“‹ Advisory & Strategic Support

- Advise clients on acquisition strategy, deal structure, and financing options

- Present investment recommendations to senior stakeholders and boards

- Coordinate with legal, tax, accounting, and other advisors

### ๐Ÿ“ Documentation & Presentation

- Prepare pitch books, information memoranda, and board presentations

- Draft management presentations and investment committee materials

- Develop integration planning frameworks

## **Required Qualifications**
