🔹 Position Overview

We are seeking a high-caliber Compensation & Benefits Associate to join a premier legal team advising sophisticated clients on complex matters involving executive compensation, ERISA, tax law, and corporate transactions.

This role offers the opportunity to work on high-value M&A, private equity, and transactional matters while advising clients on executive compensation and employee benefit strategies.

🔹 Key Responsibilities

Transactional Advisory

  • Advise clients on compensation and benefits matters in complex M&A, private equity, and corporate transactions.
  • Analyze benefits-related risks and implications during due diligence and deal execution.
  • Support high-value transactions involving executive compensation and employee benefits.

Tax & Regulatory Compliance

  • Advise on Section 409A, Section 162(m), and Section 280G requirements.
  • Analyze tax implications of executive compensation and employee benefit arrangements.
  • Provide guidance on golden parachute rules and deferred compensation.

ERISA & Benefits

  • Advise clients on ERISA fiduciary responsibilities and employee benefit plan matters.
  • Counsel clients regarding tax and regulatory considerations affecting benefit plans and equity compensation.

Executive Compensation & Incentive Design

  • Draft and negotiate executive employment agreements.
  • Develop and advise on change-in-control protections.
  • Draft and structure sophisticated equity incentive and compensation programs.

Disclosure & Governance

  • Advise public and private companies on executive compensation disclosure requirements.
  • Help clients maintain regulatory compliance and effective compensation governance.

🔹 Candidate Requirements

  • 3–5 years of dedicated experience in executive compensation and employee benefits.
  • Strong ERISA and tax law experience.
  • Deep understanding of the Internal Revenue Code and ERISA.
  • Experience with Sections 280G, 409A, and 162(m).
  • Experience advising on executive compensation, employee benefits, and transactional matters.
  • Experience with a large law firm preferred.
  • JD from a top-tier law school.
  • Active bar license in good standing.
  • Top AmLaw 50 experience preferred.
  • Excellent academic credentials; GPA above 4.0 preferred.
