Job description

This firm acts as an outside GC to venture-backed startups. They are actively looking for a Corporate Associate to join the team and take over a high volume of deal reps (~15/year) while acting as the trusted day-to-day advisor for 20+ startup clients.

Job Description:

As a Corporate Associate, you'll advise startups on their day-to-day matters, venture transactions, and possible acquisitions. You'll run point on venture financings - drafting and negotiating primary financing documents and ancillary agreements, preparing disclosure schedules, and overseeing cap tables. You'll also guide clients through day-to-day corporate matters like employment agreements, separations, ambassador agreements, and board consents, often working directly with founders and CEOs as a trusted advisor.


You'll work alongside senior associates and partners on deals ranging from safe financings to $300M transactions, with the autonomy to manage matters end-to-end and the support to grow into broader client ownership. Seniority


3 -​ 6 years of experience as a corporate associate at a top-​tier law firm specializing in emerging companies and VC.​ 


Work experience


ECVC deal reps are ~15 per year.​

M&​A experience is a plus.​

This is a fantastic opportunity if you are looking to get closer to the business side of your clients. You would be running point on venture financings—drafting primary docs, handling cap tables, and managing disclosure schedules—while advising founders directly on hiring, equity grants, and IP management.

You’d be working alongside senior associates and partners on deals up to $300M, but with the autonomy to manage matters end-to-end and own those critical founder relationships. M&A experience is a huge plus, but the core focus is ECVC.
